Symetra Life Insurance Company, a prominent provider of life, retirement, and employee benefit insurance products, has announced a significant collaboration with Teachers Insurance and Annuity Association of America (TIAA). This partnership marks the establishment of Mariner Re Ltd., a newly formed Class E licensed reinsurer based in Bermuda. Mariner Re is poised to initially function as a life and annuity reinsurance sidecar, bolstering Symetra's operations.

A cornerstone of this new venture is a substantial $750 million equity investment from TIAA. This capital injection will primarily support Symetra's annuity business through a carefully structured flow reinsurance arrangement, which commenced on October 1st, 2026. The investment management for Mariner Re will be jointly handled by Symetra Investment Management Company (SIM) and Nuveen, TIAA's wholly-owned global asset management arm. This dual-manager model leverages SIM's established expertise in insurance asset management alongside Nuveen's extensive institutional capabilities, granting Mariner Re enhanced access to a diverse array of asset classes and sophisticated investment strategies.

Similar to other such arrangements in the industry, these structures facilitate the infusion of third-party capital to bolster life and annuity underwriting activities via reinsurance quota share agreements or flow arrangements. Such initiatives benefit sponsoring entities like Symetra by enhancing their financial strength and competitive positioning. Furthermore, these collaborative endeavors offer attractive returns and asset management opportunities for all participating partners. Deutsche Bank Securities Inc. provided structuring and placement agency services for the transaction, with PJT Partners advising TIAA financially. Legal counsel was provided by Willkie Farr & Gallagher LLP for Symetra, and by Mayer Brown LLP, Simpson Thacher & Bartlett LLP, and Conyers for TIAA and the transaction in Bermuda.

This strategic alliance underscores a shared commitment to financial strength and innovative solutions in the insurance sector. The creation of Mariner Re exemplifies a forward-thinking approach to expanding annuity sales and serving a broader customer base, while simultaneously strengthening the long-term financial stability for retirement plan participants. This type of collaborative model in the reinsurance market not only drives growth and diversification but also fosters enduring partnerships that contribute positively to the overall economic landscape, showcasing how industry leaders can unite to achieve mutual success and benefit their stakeholders.
