A colossal realignment in the entertainment world has concluded, as Paramount and Warner Bros. Discovery have finalized their merger, giving rise to Skydance Corp. This newly established entity, under the leadership of Chairman and CEO David Ellison, represents a staggering $111 billion consolidation of media powerhouses.
The monumental transaction unites a vast array of assets, encompassing both major film studios, a comprehensive network of television channels including CBS, CNN, Comedy Central, MTV, and TBS, alongside popular streaming services such as Paramount+ and HBO Max. While Skydance Corp. projects an impressive annual revenue of $70 billion, it also embarks on its journey burdened by an $80 billion net debt. The successful closure of this deal follows a challenging period for Ellison, who navigated through a rival Netflix bid for Warner Bros. assets and an antitrust lawsuit from several state attorneys general to achieve this significant industry milestone. Skydance Class B shares are now trading on the New York Stock Exchange under the ticker symbol “SKYD,” while Warner Bros. Discovery shares have ceased trading.
In a public address, Ellison emphasized the historical significance of this day for Skydance and the entire industry. He articulated the merger's core vision: to forge a more robust competitor capable of delivering compelling narratives across all genres and platforms to a global audience. With the ambitious merger now a reality, the company's immediate focus shifts to fostering creativity, engaging audiences worldwide, and generating substantial returns for its shareholders. To help steer this expansive enterprise, Ellison has appointed Ynon Kreiz, former CEO of Mattel, as co-CEO, and has also recently unveiled the senior leadership team for the new Skydance Corp.
This strategic merger heralds a new era of innovation and collaboration within the entertainment sector. By combining their extensive resources, Skydance Corp. is poised to lead with groundbreaking content, offering diverse storytelling that captivates and inspires audiences globally, and setting a precedent for future industry consolidations.
