Michael Rosales, the Acting Chief Financial Officer, provided a detailed overview of the company's financial standing and debt management efforts. Caliber is actively tackling its corporate note maturities, totaling approximately $26 million, by refinancing $6.4 million into a 36-month program and converting $5.3 million into equity securities. These measures are designed to lessen short-term corporate debt, improve financial flexibility, and boost stockholders' equity as the company targets profitability. Despite the slight revenue dip, Caliber reaffirmed its full-year revenue guidance of $18 million to $22 million, projecting adjusted EBITDA profitability. This optimism is fueled by anticipated revenue growth from project-level financings and continued capital formation through direct and wholesale fundraising channels.

The company also reported significant progress across its real estate projects. The Hyatt Studios developments are advancing as planned, with a groundbreaking in Steamboat Springs and the acquisition of a site in Phoenix near the TSMC semiconductor facility. These projects are intended to integrate into the Caliber Hospitality Trust (CHT), offering investors clear exit strategies. CHT itself is focused on acquiring high-quality hotel properties at opportune price points, adopting an owner-centric management model to enhance profitability. Furthermore, the Pure Pickleball & Padel project in Scottsdale is nearing construction financing completion, and its tokenization opens new investment avenues globally. Caliber is also expanding its 1031 exchange program with a tenant-in-common structure, allowing investors to co-invest in real estate acquisitions and providing a long-term liquidity solution through conversion into the Core+ Real Estate Fund. The Tonto Oaks Apartments acquisition exemplifies their value-add multifamily strategy, focusing on renovation and sustained cash flow.

Caliber's second quarter of 2026 demonstrates a clear strategic direction, embracing innovation in real estate financing through tokenization while diligently managing its financial health and project pipeline.
